EdgePoint Investment Group reported owning 50,515,811 shares of Mattel stock, or 17.68% of the class, through funds and accounts it manages, in a Schedule 13D filed Oct. 22, 2026. The Toronto investment firm switched from the shorter 13G form, used by passive investors, after an Oct. 21 cooperation agreement put EdgePoint partner Lee Matheson on Mattel's board.
Total purchase price: about $829,702,537, excluding commissions, or about $16.42 a share.
Prior stake: 51,047,454 shares (17.57%) at June 30, 2026.
Mattel was No. 7 of 39 holdings in EdgePoint's June 30, 2026, quarterly holdings report (13F), at $708,538,662 (5.35%).
Why did EdgePoint file a 13D on Mattel stock?
Item 4 of the 13D says that after former Chairman and CEO Ynon Kreiz left, Mattel invited EdgePoint to propose a board nominee. The two signed a cooperation agreement on Oct. 21, 2026. Mattel added one board seat and appointed Matheson, effective immediately, as its Oct. 22 8-K also reports.
EdgePoint's 13G amendments for Mattel were filed under Rule 13d-1(b), which requires the filer to certify it is not holding the shares to change or influence control, in purpose or effect.
Under the agreement, Mattel will nominate Matheson at its 2027 annual meeting, and the board will recommend his election. Those obligations end if EdgePoint's stake falls below 10%. EdgePoint accepted voting terms, a pledge that neither side will disparage the other and a standstill that caps its stake and bars proxy fights and takeover bids.
How has EdgePoint's Mattel stake changed?
EdgePoint's 13G amendments show its stake fell to 36,158,043 shares (10.95%) at March 31, 2025. It then rose for five straight quarters to 51,047,454 shares (17.57%) at June 30, 2026, a 41.2% increase in shares. The 13D reports 531,643 fewer shares than at June 30. The percentage is higher because the 13D uses a different count of total shares outstanding.
Schedule B of the 13D lists four open-market sales in the 60 days before the filing, totaling 106,627 shares at $13.25 to $14.48, from Aug. 24 to Sept. 28.
